Terms of Service — Novis Pay

These Terms of Service ("Terms") govern your use of the Novis Pay mobile application ("App") operated by CaribLinkPay Ltd ("we", "us", "our"), a company registered in England and Wales.
By creating an account or using the App, you agree to these Terms. If you do not agree, do not use the App.
1. About Novis Pay
Novis Pay is a mobile payment acceptance application that enables businesses to accept card payments through Tap to Pay (NFC), QR codes, and payment links. The App uses Stripe as its underlying payment processor.
2. Eligibility
To use Novis Pay, you must:
- Be at least 18 years old
- Be a sole trader, partnership, or limited company registered in the United Kingdom or European Union
- Have the authority to bind your business to these Terms
- Create and maintain a valid Stripe connected account
- Comply with all applicable laws, including those relating to the sale of your goods or services
3. Account Registration
When you register for Novis Pay, you agree to:
- Provide accurate, current, and complete information
- Maintain the security of your password and account
- Notify us immediately of any unauthorised use of your account
- Accept responsibility for all activity that occurs under your account
We reserve the right to suspend or terminate accounts that provide false information or violate these Terms.
4. Stripe Connected Account
Novis Pay requires you to connect a Stripe account to process payments. By using our App:
- You agree to Stripe's terms of service (https://stripe.com/legal) in addition to these Terms
- You authorise CaribLinkPay Ltd to create a Stripe connected account on your behalf
- You understand that Stripe handles all card processing, fund settlement, and compliance with Payment Card Industry (PCI) standards
- You acknowledge that Stripe may independently require additional verification or restrict your account
CaribLinkPay Ltd does not hold, control, or have access to your funds at any point. All funds flow directly from customers to your Stripe account.
5. Pricing and Fees
Novis Pay Free
- No monthly fee
- 1.0% Novis Pay transaction fee per payment
- Standard Stripe processing fees apply (currently 1.5% + 20p for UK cards)
- Standard payout timing (typically 2 business days)
Novis Pay Plus
- £29 per month
- 0.4% Novis Pay transaction fee per payment
- Standard Stripe processing fees apply
- Access to Stripe-issued debit card for faster fund access
- Priority support
All prices are in GBP and inclusive of VAT where applicable. We reserve the right to change our pricing with 30 days' written notice.
Stripe's processing fees are set by Stripe and may change. Current Stripe fees are available at https://stripe.com/pricing.
6. Payments and Refunds
- You are responsible for the goods and services you sell through Novis Pay
- You are responsible for handling customer refunds and disputes
- Refunds are processed through your Stripe dashboard, not through Novis Pay
- We are not liable for chargebacks, disputes, or fraudulent transactions
- You must not use Novis Pay for any prohibited business types as defined by Stripe (https://stripe.com/legal/restricted-businesses)
7. Acceptable Use
You agree not to:
- Use the App for any illegal purpose
- Process payments for prohibited goods or services
- Attempt to circumvent fees, security measures, or usage limits
- Reverse-engineer, decompile, or disassemble any part of the App
- Use the App to launder money or finance terrorism
- Share your account credentials with unauthorised third parties
- Interfere with the operation of the App or its infrastructure
8. Intellectual Property
The Novis Pay name, logo, and App are the property of CaribLinkPay Ltd. You may not use our trademarks without prior written consent. Your use of the App does not grant you any ownership rights in the App or its content.
9. Availability and Support
- We aim to keep the App available at all times but do not guarantee uninterrupted service
- We may perform maintenance or updates that temporarily affect availability
- Support is available at support@novispay.co.uk
- Novis Pay Plus subscribers receive priority support
10. Limitation of Liability
To the maximum extent permitted by law:
- CaribLinkPay Ltd is not liable for any indirect, incidental, special, or consequential damages arising from your use of the App
- Our total liability for any claim relating to the App shall not exceed the fees you have paid us in the 12 months preceding the claim
- We are not liable for any losses caused by Stripe, including account restrictions, delayed payouts, or processing errors
- We are not liable for losses caused by internet connectivity issues, device malfunctions, or third-party service failures
Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by English law.
11. Termination
You may stop using the App and close your account at any time by contacting support@novispay.co.uk.
We may suspend or terminate your account if:
- You breach these Terms
- Your Stripe connected account is restricted or closed
- We are required to do so by law
- We reasonably believe your account is being used fraudulently
On termination, your right to use the App ceases immediately. Pending transactions will be processed and settled according to Stripe's terms.
12. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes via email or an in-app notification at least 30 days before they take effect. Continued use of the App after changes take effect constitutes acceptance of the revised Terms.
13. Governing Law
These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
